These Official Rules constitute a legally binding agreement between the Sponsor and the entrants governing the Giveaway. By entering into the Giveaway, you agree to be bound by these Official Rules.

Eligibility. This Luminar Neo Giveaway (“Giveaway”) is open to all natural persons who are, at the time of entry: (i) at least 18 years of age (or such other minimum age as the laws of your state require), (ii) have full legal capacity, (iii) not a citizen and/or resident of the Russian Federation or Republic of Belarus, and (iv) not a citizen and/or resident of a state which law prohibits, requires registration of, or obtaining a permit (or any other similar document in the broadest sense) for the Giveaway.

Sponsorship. The Giveaway sponsor is Skylum Software USA, Inc. (“Sponsor”), located at 401 RYLAND ST, STE 200-A, Reno, NV, 89502, USA. Sponsor and its respective affiliates, subsidiaries, successors, assigns, agents, representatives, officers, directors, shareholders, and employees, and any entity involved in the development, production, implementation, administration, judging or fulfillment of the Giveaway, including without limitation, the immediate family members of such individuals, are not eligible to participate. Sponsor will conduct the Giveaway substantially as described in these Official Rules. This Giveaway is in no way sponsored, endorsed or administered by, or associated with, Facebook, Instagram and/or any other social media. 

Entry Period. This Giveaway begins on February 4, 2025 and ends on February 26, 2025 (“Entry Period”).

How to Enter. During the Entry Period, visit the Giveaway registration page located on Sponsor’s website at https://giveawey.skylum.com/457783, follow the instructions to electronically complete and submit the Giveaway entry form, and complete one or more actions described therein ("Entry Method"). Different number of entries (which may also be called “points” or otherwise) will be awarded for different Entry Methods. 

Limitations on Entries.  Only one person may enter per email. Any person who attempts or otherwise encourages the entry of multiple or false contact information under multiple identities or uses any device or artifice to enter or encourage multiple or false entries, as determined by Sponsor, will be disqualified. Use of robotic entry devices is strictly prohibited.

Drawing. Winners will be selected in a random drawing among all eligible entries collected during the Entry Period. The drawing will be conducted by Sponsor, whose decisions and interpretations on all matters relating to the Giveaway and these Official Rules are final and binding in all respects. Sponsor may use third-party tools to automatically draw the winners, in which case the Sponsor shall not be liable for any technical interruptions, mistakes, or other technical errors. Sponsor reserves the right to disqualify any entrant or winner and may refuse to award a prize to a person who is not eligible or has violated a rule, gained unfair advantage in the Giveaway, or obtained winner status using fraudulent or otherwise questionable means (such as, for example, an entrant referring themselves using different emails). If there is a dispute about the identity of an entrant, the prize will be awarded to the natural person to whom the email address is assigned by the internet service provider responsible for the domain associated with the submitted email address. If the winner is found to be ineligible or not in compliance with Giveaway rules, the winner will be disqualified and an alternate winner will be awarded the prize in a separate random drawing. The winner will be notified by email. Inability of Sponsor to contact winner by email within seventy-two (72) hours after selection, may result in disqualification of winner and an alternate winner may be selected in a random drawing at Sponsor’s discretion. The prize will be sent to the winner by U.S. mail within thirty (30) days after the winner has been notified and accepted the prize. If a prize is returned as undeliverable, then the prize will be forfeited and another winner will be randomly drawn.

Odds. The odds of winning will depend on the number of eligible entries received, according to the eligibility requirements in the Giveaway.

Prizes and Gift.  The prizes are: 

Fujifilm x-m5 (approximate retail value $799);

DJI Osmo pocket 3 (approximate retail value $519).

The gift is Luminar Neo Perpetual Lifetime license (approximate retail value $100) and is guaranteed to a person that received at least three thousand (3,000) entries.

Winner agrees to accept the prizes and the gift “as is” and entrants hereby acknowledge that the Sponsor hereby expressly disclaims any and all warranty, representation, or guarantee relative to the prizes and the gift, including warranties provided exclusively by the prize manufacturer and/or supplier. The approximate retail value of the prizes and the gift are specified above, the exact retail value depends on specific market situation at a given moment. Any difference between stated approximate retail value and actual value of prizes and gifts will not be awarded. Monetary value will not be paid instead of the prizes or the gift. The prizes and the gift are not transferable. Winner is solely responsible for any federal, state, and local taxes, as well as their reporting. 

General Terms. By entering this Giveaway, you promise to abide by the Official Rules and decisions of Sponsor, which will be final and binding in all respects. Sponsor reserves the right, at its sole discretion, to refuse, disqualify or withdraw any entry at any time. Sponsor will not be responsible for any injury, damage or loss of any kind arising out of your participation in the Giveaway. 

Limitation of Liability: By participating in this Giveaway, you agree to release, indemnify, and hold harmless Skylum and its affiliates, subsidiaries, agents, and their respective officers, directors, employees and contractors from any and all liability, claims, losses, damages, or injuries arising from or in connection with their participation in the Giveaway or the acceptance, use, or misuse of any prize and gift. Skylum and its affiliates, subsidiaries, agents, and their respective officers, directors, employees and contractors are not responsible for any technical, hardware, software, or telephone malfunctions, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled, or delayed electronic communications caused by the sender or by any equipment or programming associated with or used in this Giveaway.

Privacy: By participating in the Giveaway, you agree to the processing of your personal data in accordance with Skylum's Privacy Policy. Personal data may be used for the purposes of administering the Giveaway, selecting the winners, delivering the prizes and the gift, making communications reasonably relevant to the entrants, public promotion of the Giveaway and announcing the winners, and otherwise in accordance with Skylum's Privacy Policy. The winners agree to the use of his/her name and image in any publicity material, including for commercial purposes.

Severability: If any provision of these Official Rules is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced with a valid and enforceable provision that comes closest to the intent of the original provision.

Governing Law and Jurisdiction: The Giveaway is governed by the laws of the State of New York, USA, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Giveaway shall be resolved exclusively through the state or federal courts located in New York County, New York, and both you and Skylum irrevocably consent to the exercise of jurisdiction by said courts over them.

Force Majeure. The Sponsor reserves the right to cancel the Giveaway, change its dates and/or amend these Official Rules without notice in the event of a catastrophe, war, civil or military disturbance, act of God or any actual or anticipated breach of any applicable law or regulation or any other event outside of the Sponsor’s control. Any changes to the Giveaway will be notified to entrants as soon as reasonably possible.
